These General Terms and Conditions (GTC) apply to all services offered by Wizlabs GmbH (hereinafter “Wizlabs”). By using the services of Scanwiz.com, you accept the following conditions unchanged and in full as agreed upon by the provider and the customer.
1. Scope and Subject Matter of the Contract
These GTC apply to the use of the Scanwiz software solution provided by Wizlabs GmbH. Scanwiz supports the digital and smart management of inventory items, including stock management, inventory counting, variant management, and the provision of an integrated barcode scanner.
2. Services of Wizlabs GmbH
- Provision of the Scanwiz software as Software-as-a-Service (SaaS) via the internet.
- Storage of all customer data in German data centers in compliance with the highest data protection standards (GDPR).
- Continuous development and automatic deployment of the latest software version.
- Functionalities such as inventory management, batch management, inventory counting, reporting, and barcode scanning.
- Operational reliability: A yearly availability of 99% is targeted; maintenance windows are communicated in advance.
- Storage capacity is provided for the application and its associated data; usage beyond this or any unlawful usage is prohibited.
3. Usage Rights and Customer Obligations
- The right of use is limited to the agreed internal purposes of the customer and its authorized third parties. Independent distribution, resale, or rental is prohibited.
- Customers and their users must securely store access data and install all security-relevant updates to their own IT infrastructure. Unauthorized access must be reported to Wizlabs immediately.
- Customer data may only be used for operating Scanwiz. In the event of violations, access may be blocked and/or data deleted without prior notice.
4. Data Protection and Data Security
- All customer data is processed exclusively in Germany and in accordance with the GDPR.
- Wizlabs implements appropriate technical and organizational measures, including regular backups, up-to-date software updates, protection against malware, and targeted employee training.
- Customer data is protected against access by third parties. The customer’s end devices and IT infrastructure must meet security standards.
5. Availability and Disruptions
- Wizlabs guarantees a targeted availability of 99% on an annual average, excluding periods caused by force majeure or necessary maintenance work.
- Errors or outages resulting from improper use, unsupported hardware/software, or external circumstances do not entitle the customer to rectification by Wizlabs.
6. Liability
- Wizlabs is liable only for directly caused damages due to gross negligence, up to a maximum of EUR 100,000; further claims, especially for indirect damages, lost profits, or data loss, are excluded.
- The customer is liable for damages resulting from violations of these GTC, particularly in cases of software misuse or insufficient IT security.
7. Contract Duration and Termination
- The usage contract may be terminated at any time at the end of the contract period; extraordinary termination without notice is possible in cases of violations of contractual or payment obligations.
- After the end of the contract, customer data will be permanently deleted after 30 days; earlier deletion may be requested.
8. Confidentiality & Rights
- Both parties agree to maintain confidentiality of all non-public information and data, even beyond the duration of the contract.
- All rights to the software remain fully with Wizlabs GmbH. Individual customer-specific developments are made available to the customer for internal use but remain the property of Wizlabs.
